Terms of Service

Effective Date: July 10, 2026

These Terms of Service ("Terms") govern your use of indianaregisteredagent.co (the "Site") and the registered agent services ("Services") offered by Indiana Registered Agent.co ("we," "us," "our"). Using the Site or enrolling in Services means you accept these Terms.

1. What the Service Includes

Indiana Registered Agent.co provides:

• A physical registered agent address in Indiana for your entity's state filings
• Acceptance of service of process, legal papers, and state correspondence during business hours
• Same-day scanning of received documents with electronic delivery to your account
• Reminders ahead of Indiana's biennial business entity report deadline
• A secure online portal for storing and retrieving your documents

Physical mail forwarding of an original document is available on request as a separate, per-piece paid service — it is not included in the annual fee. Full mail-handling detail is on our FAQ page.

2. Who Can Enroll

You must be at least 18 and authorized to act for the business entity you're enrolling. You agree to give us accurate, current information when you sign up and to keep it that way.

3. Fees and Payment

• Annual service fee: $99
• Charged at enrollment and again at each yearly renewal
• Accepted payment methods appear on the Site at checkout
• A failed payment triggers a notice from us, and Services may pause until it's resolved
• We'll give at least 30 days' notice before any price change takes effect at your next renewal

4. Term of Service

Coverage starts when you enroll and runs for twelve months, renewing automatically at the prevailing annual rate unless you cancel ahead of your renewal date.

5. Your Responsibilities

You agree to:

• Keep the entity information on file with us accurate
• Notify us promptly of name changes, contact updates, or shifts in entity status
• Check your portal regularly and act on delivered documents in a timely manner
• Keep your entity in good standing with the Indiana Secretary of State, including biennial report filings
• File your designation of us as registered agent correctly with the state

6. How Documents Are Handled

• Accepted during business hours (Monday-Friday, 9 AM-5 PM ET, excluding Indiana state holidays)
• Scanned and made available in your portal the same business day they're received
• We take no responsibility for the content, meaning, or legal consequences of anything received or scanned on your behalf
• Original paper documents are retained for a limited window and then securely disposed of, unless you've requested paid per-piece physical mailing

7. Not a Law Firm

Indiana Registered Agent.co is a document filing service, not a law firm, accounting firm, or licensed advisory practice. We don't offer legal advice, tax guidance, or formation counsel — our role begins and ends with registered agent functions. For legal or tax questions, consult a licensed professional.

8. Limits on Liability

To the extent Indiana law allows:

• Our total liability for any claim tied to the Services is capped at what you paid us in the prior 12 months
• We are not liable for indirect, incidental, consequential, special, or punitive damages
• We are not liable if you fail to review or act on documents made available to you
• We are not liable for delays caused by circumstances outside our reasonable control, including postal disruptions or natural disasters

9. Indemnification

You agree to defend, indemnify, and hold Indiana Registered Agent.co, its owners, employees, and contractors harmless from claims, losses, or expenses (including reasonable attorney fees) that arise from your use of the Services, a breach of these Terms, or a third-party claim connected to your entity.

10. Cancelling

• Email support@indianaregisteredagent.co to cancel at any time
• Cancellation takes effect at the end of your current paid term
• We don't issue partial refunds except at our discretion
• You are responsible for naming a new registered agent with the Indiana Secretary of State before or upon cancellation

11. Suspension or Termination

We may suspend or end Services if:

• Payment goes unresolved after reasonable notice
• The information you gave us turns out to be materially false
• Your use of the Services breaks the law
• Continuing to provide Services would expose us to legal risk

12. Governing Law

These Terms are governed by Indiana law, and any dispute will be handled in Indiana courts.

13. Updates to These Terms

We may revise these Terms periodically. Updates post here with a new effective date, and continued use of the Site or Services after that point means you accept the changes.

14. Severability

Should any provision here be found unenforceable, the rest of these Terms remain in effect.

15. Full Agreement

These Terms, together with our Privacy Policy, make up the entire agreement between you and Indiana Registered Agent.co regarding the Services.
