Two Forms, Two Fee Lines: Switching From Bizee in Indiana
Indiana states its priorities on the face of its paperwork, and comparing two documents makes the point faster than any argument.
The first is the Articles of Organization, State Form 49459, the filing that brings an Indiana LLC into existence. Its paper version prints a filing fee of $100, an amount set by statute at IC 23-0.5-9-19 and cited in the form's own caption. Creating a company costs money here.
The second is State Form 56367, the filing that replaces whoever currently holds your agent appointment. Its fee line prints NO FILING FEE. Replacing the party that answers the door costs nothing at all.
Both documents go to the same place, the Secretary of State's Business Services Division, and the change can equally be submitted online through INBiz. The asymmetry is deliberate. Indiana charges for the act of creating an entity and declines to charge for keeping its agent information accurate, which tells you how the state views the transaction you are contemplating: as record maintenance, not as a purchase.
That framing also explains the sequence. Indiana requires an entity to maintain a registered agent and a registered office continuously, so the statement is written as a substitution, naming the incoming agent in the same entry that releases the outgoing one. Appoint the replacement, file the statement, confirm the entry on your entity record, and only then close the Bizee subscription.
